[Owasp-board] MOTION: Update section 2.02 of OWASP Bylaws

Board,
With the February 8th Board meeting, we approved a change to Section 2.02
of the OWASP ByLaws as follows:
Section 2.02 currently reads:
Each Board member will serve for a term of 2 years. The term will begin
effective January 1 following the election period. An individual is limited
to 4 consecutive 2 year terms effective January 1, 2014. The role of the
Board Members shall be elected by the Board of Directors at the first
meeting following the election of the Board of Directors. If the election
of officers shall not be held at such meeting, such election shall be held
as soon thereafter as conveniently may be. Each officer shall hold that
role until the next election has been completed.
MOTION: Revise Section 2.02 to read:
Each Board member will serve for a term of 2 years. The term will begin
effective January 1 following the election period. A Board member may run
again for re-election at any point in the future, but may serve no more
than two two-year terms in any ten year period. The role of the Board
Members shall be elected by the Board of Directors at the first meeting
following the election of the Board of Directors. If the election of
officers shall not be held at such meeting, such election shall be held as
soon thereafter as conveniently may be. Each officer shall hold that role
until the next election has been completed.
It looks like I accidentally missed an update that needs to happen for
Section 3.03:
Section 3.02 currently reads:
The number of directors of the Foundation shall be no less than five and no
more than seven. Each director shall hold office for two years unless duly
removed. An individual is limited to four (4) consecutive two (2) year
terms effective January 1, 2014. Each director must be elected as
prescribed in the election policy and procedure.
MOTION: Revise Section 3.02 to read:
The number of directors of the Foundation shall be no less than five and no
more than seven. Each director shall hold office for two years unless duly
removed. *An individual is limited to no more than two (2) terms in any ten
year period.* Each director must be elected as prescribed in the election
policy and procedure.
This has already been approved and should just be cleanup for the ByLaws
since I missed that it was mentioned twice. Can I please get a second so
that we can get this approved and the staff can get both sections updated?
