[Owasp-board] Ammendment to ByLaws

I understand the why, and this proposed amendment did not come from me – personally - but as it was pointed out, the ByLaws that had been approved by the Board State something different than the January 1 date, so to remove any unnecessary confusion, an amendment for this year’s election and Board Term is necessary.
There have been too many instances recently where “the spirit of the process” doesn’t mean anything. If it’s not documented, then it never happened…

Going from no roles to roles and responsibilities is a big shift... The spirit of the process was always 2 years as of 1-Jan
and why Sept is an important meeting to hash this stuff out, budgets, HR issues etc. Everyone will be in attendance + mike in person less Seba and he can dial in if needed BrewCon was a conflict for him.

The bylaws were voted into effect by the current Board of Directors. The ByLaws State:
SECTION 2.02 Election and Term of Office. Each Board member will serve for a term of 2 years.
The role of the Board Members shall be elected by the Board of Directors at the first meeting following
the election of the Board of Directors. If the election of officers shall not be held at such meeting, such
election shall be held as soon thereafter as conveniently may be. Each officer shall hold that role until
the next election has been completed.
This means that the newly elected Board of Directors would be assigned at the September 5th Board Meeting. However, the new Bylaws also included the Roles that would be assigned, but there is no internal information that would explain the level of responsibility for these roles within the Board of Directors.
Additionally, the Term of the Board of Directors, as stated in the ByLaws, is implied as beginning immediately.
So, a vote must be taken by the Board of Directors to either follow the ByLaws as written and approved, or to amend the ByLaws to more clearly state a transition and effective date for the newly elected Board Members.
Please vote YES or NO on the following Amendment to the current ByLaws:
The term of the Board of Directors will begin January 1 of the next calendar year and continue for 24 months.
